Release, Defend, Hold Harmless and Indemnity agreement
This agreement, made and entered into this____ day of _________200__, by and between ______________________________, (hereinafter referred to as "client"), whose address is_____________________________________ and South Florida Nannies & Housekeepers, Inc. (hereinafter referred to as "company").
Whereas, client is seeking the services of the company in assisting to locate a nanny, housekeeper, elderly care companion, and / or other domestic employee for the client's personal use and client has made certain agreements with the company with regard thereto.
Whereas, client hereby acknowledges that it will pay a nonrefundable application fee (retainer) of $120.00 to South Florida Nannies & Housekeepers, Inc. for referring between one to five (but not limited to) prospective candidates for a permanent or temporary position (s). The placement fee rates are determined by the following: (retainer is valid for one calendar year from date of receipt.)
The following fees are per employee retained.
Prices below are for applicants hired within your local area.
Guarantee period is 90 days (maximum of two replacements)
Live in full time: $1000.00 Temporary (up to 30 days) $250.00
Live out full time $ 700.00 Temporary (up to 90 days) $350.00
Live in part time $ 600.00 Temporary - less than 2 weeks (call)
Live out part time $ 600.00 Per diem -1 day housekeeper $80 / 2 day hkpr $160
(does not include childcare)
If your placement requires a nation wide recruitment, SFN, Inc. charges 7% of the empolyee's yearly income. Guarantee period for national hires is 6 months.
Full time = 31+ hours/week
Part time = 30 hours or less / week
The retainer (application fee), is built in to the above fees; it is not "in addition to the fee".
If and when the client accepts a permanent candidate(s) (any employee hired is assumed permanent unless client specifically requests a temporary employee) the client shall immediately notify SFN, Inc. of said acceptance and will pay SFN, Inc the balance of the placement fee. The placement fee is due upon the employee's first day of work. Guarantee period also begins the employee's first day of work. A charge of $20.00 per day will be added to the placement fee if the Nanny, Housekeeper, or Elderly care companion is currently working for the client and the placement fee has not been paid to SFN, Inc. Any unpaid balance due to SFN, Inc. will be charged to the credit card the client has on file with SFN, Inc.
If after acceptance of a prospective permanent or temporary candidate, they are reasonably unacceptable, and SFN, Inc. is notified in writing of such unacceptability within the guarantee time, SFN, Inc. will refer other prospective candidates. Guarantee period includes, weekends, holidays, and times of natural disasters. This guarantee does not apply and SFN, Inc will not replace your employee in any of the following situations, whether employee or employer terminates the employment:
(a) Any instance where the employee has been asked to perform services not part of their job description. (b) Any instance where employee demonstrates sexual harassment has been present in the work environment. (c) Any instance where verbal and or physical abuse has been present in the work environment. (This includes physical or verbal abuse from any adult or minor child). (d) Any instance where employee alleges a dangerous work environment, (drugs, weapons, hazardous waste) (e) employee has been asked to significantly increase their work hours without equal compensation;(f) any instance where an applicant that has been referred by our service is owed any amount of money for work, including days of training and has not been paid by the client family (g) any instance where a specific emotional or behavioral issue is present pertaining to the families child (children) and it is not disclosed to SFN, Inc in the family application. (h) employee is not able to relocate with the client family if requested. Clients falling under our replacement guarantee understand that every effort is made to find a replacement in a timely manner, but, it is impossible to pre determine how soon an appropriate replacement employee can be found. Replacements will be made according to the original application specifications. Any change to the original application with regard to hours, pay, or job description or job location will not be replaced. There are no refunds. All services are final.
These rates are subject to change without notice at any time by SFN, Inc. There will be a $25.00 charge for any returned checks.
Now therefore, in consideration of ten dollars ($10.00) and other mutual covenants and promise is contained herein together with other good and valuable considerations, receipt and sufficiency of which is hereby acknowledged, the client, agrees to indemnify, defend, and hold company, it's directors, officers, agents, assigns, and employees harmless from any and all actions, causes or causes of action, suits, debts, sums of money, controversies, demands, claims, and damages in law or equity whether justified or not (including all reasonable attorney's fees and costs at all judicial levels) for personal injury (including death), property damage or negligent matters arising out of or caused by an act or omission indirectly or directly under this agreement. Further, client by these presents does for itself and for its heirs, executors, administrators and agents, servants, employees, and assigns, from any and all actions, cause and causes of action, suits, debts, dues, sums of money, covenants, controversies, agreements, promises, damages, judgments, executions, claims and demands whatsoever, in law or in equity which client has or had, now have, or might have in the future against the company in relation to this agreement. It is further understood and agreed that this instrument is executed by the client voluntarily, and is not based on any representation, guarantees, warranties or statements of any kind made by company, or any of its representatives. Further, the Client shall further indemnify, defend and hold company its directors, officers, agents, assigns and employees harmless from any and all claims and damages (including reasonable attorney's fees and costs at all judicial levels) arising from any act, negligence, fault, or omission of client, their agents, employees, contractors, invitees, and from and against any and all costs, reasonable attorney's fees, expenses and liabilities about such claim or any action thereof. In witness whereof, the parties hereto have executed the agreement by their duly authorized representatives on the date first above written.
